This Search Engine Optimization and Reporting Agreement (“Agreement”) is hereby entered into between you, your employees and agents (collectively “Customer”) and applies to the purchase of all Search Engine Optimization and Reporting Services (hereinafter collectively referred to as “SEO Services”) ordered by Customer.

1. PURPOSE

This Agreement outlines the terms under which Blue Creek Valley will provide digital marketing, SEO, social media growth, website optimization, and related services to Natural Vibez Distribution as described in the proposal dated January 28, 2026

The goal of this engagement is to build consistent traffic, predictable sales, and long-term brand authority.

2. SCOPE OF SERVICES

Service Provider agrees to provide the following services:

2.1 Social Media Management & Growth

• Monthly content strategy & calendar
• 12–20 short-form videos per month
• Educational, lifestyle, promotional & viral-style content
• Community engagement (comment replies & audience interaction)
• Monthly performance reporting

Platforms may include TikTok, Instagram, Facebook, and optional YouTube Shorts.

2.2 Search Engine Optimization (SEO)

• Full SEO audit & optimization
• Keyword research & competitor analysis
• Product & collection optimization
• On-page SEO improvements
• Technical SEO enhancements
• Blog content strategy guidance
• Google Search Console & Analytics setup

2.3 Website Optimization & Conversion Strategy

• Homepage optimization
• Product & collection page enhancements
• Conversion funnel strategy
• Email capture optimization
• Repeat buyer & bundle strategy

2.4 Content Marketing & Brand Authority

• Blog strategy
• Educational content outlines
• Product education funnels
• Email marketing sequences
• Automated nurture flow strategy

2.5 Paid Growth Acceleration (Optional Add-On)

If activated, includes:

• Funnel strategy
• Ad creative direction
• Campaign setup & optimization
• Conversion tracking

Ad spend is separate and paid directly by Client.

3. INVESTMENT & PAYMENT TERMS
3.1 Initial Setup & Strategy Fee

$150 (one-time)

3.2 Monthly Growth Management

$750 per month

3.3 Month 1 Total

$900 (Setup + First Month)

3.4 Ongoing Months

$750 per month

Invoices are due upon receipt unless otherwise agreed. Services begin once payment is received.

4. TERM & TERMINATION

• This Agreement begins upon payment and continues month-to-month.
• Either party may terminate with 30 days notice.
• No long-term contract is required.
• No refunds for work already completed.

5. CLIENT RESPONSIBILITIES

Client agrees to:

• Provide timely access to website, hosting, ad accounts, and social accounts
• Supply product information, brand assets, and approvals when needed
• Respond to review requests within reasonable time

Delays in approvals may affect timelines and results.

6. PERFORMANCE DISCLAIMER

Service Provider agrees to perform services professionally and strategically; however:

• Specific revenue, traffic, ranking, or sales results are not guaranteed.
• Digital marketing outcomes depend on market conditions, competition, product quality, pricing, and external factors.

7. INTELLECTUAL PROPERTY

Upon full payment:

• Client owns final approved content and deliverables.
• Service Provider retains the right to display work in portfolio and marketing materials unless otherwise agreed in writing.

8. CONFIDENTIALITY

Both parties agree to maintain confidentiality regarding proprietary information, strategies, account data, and financial information.

9. LIMITATION OF LIABILITY

Service Provider shall not be liable for:

• Platform outages
• Account suspensions
• Algorithm changes
• Third-party service disruptions
• Indirect or consequential damages

Liability shall not exceed fees paid within the previous 60 days.

10. GOVERNING LAW

This Agreement shall be governed by the laws of the State of North Carolina.

11. ACCEPTANCE

Each Party acknowledges that it has read and understands this Agreement and agrees to be bound by its terms and conditions.
